  • "Agreement" refers to these Terms and Conditions together with our Privacy Policy
  • "Content" refers to data, information, and materials provided through the Service
  • "Subscription" refers to your paid access to specific Service tiers

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you have the legal capacity to enter into this Agreement.

These terms constitute a binding legal agreement between you and Veloxia.

3. Service Description

Veloxia provides AI-powered financial intelligence services including:

  • Couple's Finance Organizer for partner financial coordination
  • Professional Services Firm Analytics for practice management
  • Financial Transition Support for individuals navigating life changes

The Service provides analysis, insights, and tools to support your financial decision-making. It does not provide financial advice, investment recommendations, or legal counsel.

Service availability may vary based on your subscription tier. We reserve the right to modify features, functionality, or service offerings with reasonable notice.

4. User Accounts

4.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are solely responsible for all activities conducted through your account. You must immediately notify us of any unauthorized access or security breach at [email protected].

4.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or otherwise misuse the Service.

5. User Responsibilities

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You will not:

  • Violate any applicable Singapore or international laws or regulations
  • Infringe upon intellectual property rights of Veloxia or third parties
  • Transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other user accounts
  • Use the Service to transmit spam, unsolicited communications, or fraudulent content
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems to scrape or extract data from the Service
  • Resell or redistribute the Service without explicit written permission

5.2 Data Accuracy

You are responsible for the accuracy of financial and personal information you provide. The quality of our analysis depends on accurate input data.

5.3 Decision-Making Authority

You acknowledge that all financial decisions remain your responsibility. Our Service provides information and analysis to support your decision-making but does not replace professional financial, legal, or tax advice.

6. Subscription and Payment

6.1 Subscription Tiers

Services are offered on a subscription basis with monthly billing. Current pricing:

  • Couple's Finance Organizer: SGD 428 per month
  • Professional Services Firm Analytics: SGD 1,388 per month
  • Financial Transition Support: SGD 1,588 per month

6.2 Payment Terms

Subscription fees are billed in advance on a monthly basis. Payment is due immediately upon subscription or renewal. We accept major credit cards and bank transfers within Singapore.

6.3 Price Changes

We may adjust pricing with 30 days advance notice. Price changes will apply to subsequent billing cycles. You may cancel before the price change takes effect if you do not agree to the new pricing.

6.4 Refund Policy

We offer a 14-day satisfaction period from your initial subscription date. If you are not satisfied within this period, contact us for a full refund. After 14 days, subscription fees are non-refundable except as required by Singapore consumer protection laws.

6.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. No partial month refunds are provided except during the initial 14-day period.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, design, content, and trademarks, is owned by Veloxia and protected by Singapore and international intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes during your subscription period.

7.3 Your Data

You retain ownership of all financial and personal data you provide to the Service. By using the Service, you grant us a license to process this data to provide and improve our services as described in our Privacy Policy.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use this feedback without compensation or attribution.

8. Disclaimers

8.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8.2 No Financial Advice

Veloxia is not a financial advisor, investment advisor, or licensed financial professional. The Service provides information and analysis tools but does not constitute financial, investment, tax, or legal advice. You should consult qualified professionals for specific guidance on financial matters.

8.3 No Guarantees

We make no guarantees about financial outcomes, investment performance, or the achievement of specific financial goals. Past performance and analysis do not predict future results.

8.4 Third-Party Content

The Service may integrate with or reference third-party services and data sources. We are not responsible for the accuracy, reliability, or availability of third-party content.

9. Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Veloxia's total liability for any claims arising from this Agreement or your use of the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
  • We are not liable for damages resulting from your reliance on Service outputs, unauthorized access to your account, or failure to backup your data
  • We are not responsible for financial decisions you make based on Service information or analysis

Some jurisdictions do not allow limitation of implied warranties or liability for incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Veloxia, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by User

You may terminate this Agreement at any time by canceling your subscription through your account settings or by contacting us at [email protected].

11.2 Termination by Veloxia

We may suspend or terminate your access to the Service immediately if you violate these terms, fail to pay subscription fees, or engage in conduct that we reasonably believe is harmful to other users or our business.

11.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. We will retain your data for 90 days after termination to allow potential reactivation, then securely delete it unless legal obligations require longer retention.

11.4 Survival

Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination of this Agreement.

12. Dispute Resolution

12.1 Governing Law

This Agreement is governed by the laws of Singapore, without regard to conflict of law principles.

12.2 Jurisdiction

Any legal action or proceeding arising from this Agreement shall be brought exclusively in the courts of Singapore, and you consent to the jurisdiction of such courts.

12.3 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at [email protected] to attempt informal resolution of any disputes.

12.4 Arbitration

If informal resolution fails, disputes may be submitted to binding arbitration in Singapore under the Singapore International Arbitration Centre rules, unless consumer protection laws provide otherwise.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Veloxia regarding the Service.

13.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights under this Agreement without our written consent. We may assign our rights and obligations without restriction.

13.5 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to [email protected].

14. Changes to Terms

We may modify these Terms and Conditions at any time. Material changes will be communicated through email notification and prominent notice in your account dashboard.

The "Last Updated" date at the top of this document indicates when changes were last made. Continued use of the Service after notification of changes constitutes acceptance of the modified terms.

If you do not agree to modified terms, you must discontinue use of the Service and cancel your subscription.
